AMG Critical Materials closed 0.76% higher at €32.00 on 10 July, while Zinnwald Lithium traded in the range of approximately 8.75–9.00 pence. AMG Lithium’s recommended acquisition values Zinnwald at approximately £57 million under the proposed transaction terms.
Acquisition Offer Combines Cash and AMG Shares
The offer provides Zinnwald shareholders with 5 pence in cash and 0.001577 new AMG shares for each Zinnwald share held. The transaction’s lock-up period expired on 8 July, although takeover-related disclosures continued to be published on 10 July, indicating that completion procedures were still in progress. The remaining transaction process is now focused on final completion requirements and implementation timing.
Transaction Links Saxony Lithium Project With German Refining Capacity
The proposed acquisition would connect the Zinnwald lithium deposit in Saxony with AMG’s downstream lithium hydroxide operations at Bitterfeld, Germany. The combination would bring together a European lithium resource and an existing processing platform within the same corporate structure.
The transaction rationale is based on integrating upstream resource development with downstream lithium chemical production rather than continuing development of Zinnwald as a standalone junior mining company.
Market Focus Shifts Toward Completion Conditions
The remaining arbitrage spread in Zinnwald shares is primarily linked to movements in AMG’s share price, final transaction conditions and the timing of implementation. The value of the transaction is therefore increasingly determined by completion mechanics rather than Zinnwald’s independent exploration valuation.
