Central Asia Metals to acquire Cygnus Metals via Australian scheme of arrangement

Central Asia Metals (CAML) is pursuing the proposed acquisition of Cygnus Metals Limited to add a copper-gold project in Canada to its portfolio. The transaction is intended to extend CAML’s growth pipeline while drawing on financial strength from its existing mining operations. CAML Chief Executive Officer Gavin Ferrar said the acquisition aligns with the company’s long-term vision, according to details highlighted by ADVFN on June 10, 2026.

CAML plans to acquire Cygnus Metals through an Australian scheme of arrangement. Under the proposed terms, Cygnus shareholders would receive 0.06 newly issued CAML shares for each Cygnus share held. The transaction is valued at approximately A$232 million, based on the company’s transaction summary.

Chibougamau copper-gold project in Québec

The acquisition centers on the Chibougamau copper-gold project in Québec, Canada. CAML described the jurisdiction as one of Canada’s established mining regions. The company said the project would diversify its exposure by geography and by asset stage, linking its cash-generating operations with earlier-stage exploration interests.

Management believes Chibougamau is positioned for advancement using CAML’s experience in mine development, engineering, and project execution. The company views the asset as a high-quality opportunity intended to support long-term value creation and strengthen its future production pipeline.

Exploration upside tied to copper mineralisation

CAML said the timing of the proposed acquisition aligns with ongoing global demand for copper. It cited demand drivers including renewable energy systems, electric vehicles, power transmission networks, battery infrastructure, and electrification projects. The company also referenced government and industry investment in decarbonization and energy security as factors supporting long-term copper supply needs.

For CAML, Chibougamau combines an established mineral resource with exploration potential. Existing drilling has identified mineralisation that remains open along strike and at depth, which management said could support future resource growth. CAML indicated that this exploration upside may enable additional discoveries while supporting development of an already defined resource base.

Funding approach and balance sheet considerations

CAML highlighted its ability to advance Chibougamau using cash flow generated from its existing operations. The company said it benefits from a portfolio of producing assets that continue to generate revenue and cash flow. CAML stated that this financial position can support technical studies, exploration programs, and development activities while reducing financing risk.

The company also said a strong balance sheet could help preserve shareholder value by limiting the need for substantial future equity dilution. CAML described this financial flexibility as important given selective capital markets for large-scale mining development projects.

Copper plus gold exposure and shareholder support

While copper is described as the primary strategic driver, CAML said the project’s gold component adds value to the investment case. It noted that gold could contribute through valuable by-product credits, which may lower future operating costs if the mine reaches commercial production. CAML said investors would gain exposure to both a critical industrial metal and a precious metal within a single asset.

CAML also stated that it has received indications of support from major shareholders representing approximately 29% of Cygnus Metals’ issued shares, subject to transaction conditions and approvals. For Cygnus shareholders, the scheme would provide continued exposure to the project while making them shareholders in a larger diversified and cash-generating mining company.

Rationale for broader growth platform

CAML presented the transaction as value-enhancing for shareholders of both companies. For CAML investors, management said the acquisition would deliver a flagship copper-gold development asset in a respected mining jurisdiction. It also said adding Chibougamau would strengthen its growth profile and provide a future development opportunity intended to complement existing operations.

If completed, CAML said the deal could mark a milestone in its corporate evolution by combining producing operations, cash generation, financial discipline, and a high-grade Canadian copper-gold asset. The company also referenced broader market attention on quality development projects in stable jurisdictions as concerns over future copper supply increase and exploration outcomes become more difficult.
