Trident Grants Apogee Option for Saskatchewan’s Knife Lake Copper Project

Trident Resources has granted Apogee Minerals an option to acquire 100 per cent of the Knife Lake copper project in Saskatchewan under a package combining cash, equity and exploration expenditure. The arrangement provides Trident with C$400,000 in cash and 7.4 million Apogee common shares, valued at approximately C$700,000 when the transaction was announced. Apogee is also required to spend at least C$1 million on exploration over the following two years.

The package represents C$1.1 million of stated consideration, alongside a separate C$1 million exploration commitment. Because approximately two-thirds of the consideration is being delivered in Apogee shares, part of the transaction’s value remains dependent on the future liquidity and market value of those securities.

Knife Lake resource provides exploration base

Knife Lake hosts an indicated resource of 3.8 million tonnes grading 1.02 per cent copper-equivalent. The estimate includes 0.83 per cent copper and 3.7 grams per tonne silver, together with smaller quantities of gold, cobalt and zinc. The resource estimate dates from 2019. Apogee will therefore have an opportunity to undertake additional exploration and update the geological model, while further drilling and technical studies could alter the project’s reported scale or grade.

Under the option structure, Apogee gains access to an established mineral resource without making a large upfront acquisition payment. Its expenditure obligation is staged through the C$1 million exploration programme, with full ownership dependent on meeting the contractual requirements and exercising the option.

Trident shifts focus toward gold portfolio

For Trident, transferring the project through an option removes direct funding responsibility for the non-core copper asset while allowing the company to concentrate capital and management resources on its gold interests. The company’s focus includes the Contact Lake gold project and its broader La Ronge Gold Belt portfolio. Retaining Apogee shares also provides Trident with indirect exposure to any increase in Knife Lake’s value resulting from future exploration.

The transaction does not immediately constitute a completed sale of Knife Lake. Apogee will obtain ownership only after exercising the option and satisfying the agreement’s conditions. Until those requirements are met, the arrangement remains a conditional asset transaction under which Trident receives a relatively small cash payment, Apogee equity and a commitment for externally funded exploration at the Saskatchewan copper project.
