European Critical Minerals Sector Sees Rising Strategic M&A Activity

Europe’s critical minerals sector is increasingly shifting from policy discussions toward corporate transactions involving assets, processing capacity and strategic ownership positions. Emerging mergers and acquisitions activity is focused on strengthening supply chains through control of resources, conversion infrastructure and industrial integration.

This market differs from traditional mining transactions, where value is often centred mainly on reserves and resources. Critical minerals M&A is increasingly linked to supply-chain position, processing capability and industrial security.

Lithium Integration Drives Strategic Transactions

AMG’s proposed acquisition of Zinnwald Lithium represents one example of this approach. The transaction is focused not only on securing additional lithium resources but also on connecting European lithium development potential with AMG’s downstream processing platform and broader critical materials activities.

The deal reflects a market environment where integration between resources and processing capacity can become more important than standalone exploration potential. European lithium projects are increasingly being evaluated based on their ability to contribute to complete supply chains, including conversion and industrial delivery.

Strategic Investors Assess Mineral Platforms

Eramet represents a larger-scale example of strategic positioning within critical minerals. The company has exposure to manganese, nickel and lithium, while its balance-sheet pressures and planned €500 million capital increase have created an opportunity for strategic investors, sovereign-linked capital and industrial partners to evaluate future participation.

The company’s assets remain connected to strategic raw-material supply chains, while its financial restructuring has increased attention around potential ownership and investment structures.

Processing Capacity Becomes Central to Corporate Strategy

Rock Tech Lithium demonstrates another part of the market through its German lithium converter strategy. The company’s development approach depends on financing, capital-market access and industrial partnerships to advance conversion capacity. In lithium processing, strategic capital may become increasingly important because customers, governments and financiers share an interest in securing reliable material supply chains.

This trend is contributing to a market where companies may not necessarily develop projects independently. Some assets may become part of larger industrial platforms through acquisitions, mergers, strategic investments or processing-focused combinations.

Supply Chain Position Determines Transaction Value

Future critical minerals transactions are expected to focus on assets that address specific supply-chain requirements. Companies with strategically located projects, technically credible development plans and the ability to integrate into broader industrial networks are positioned to attract greater strategic interest.

Ownership of a critical mineral resource alone is not sufficient to determine transaction value, with processing capability and supply-chain integration becoming increasingly important factors in European materials-sector M&A.
