Critical Metals Expands Rare Earth Dominance with $835 Million Acquisition of European Lithium

In a significant move aimed at enhancing its position in the global rare earth supply chain, Critical Metals has announced the acquisition of European Lithium for approximately $835 million. This transaction consolidates control over one of the largest heavy rare earth deposits outside China, reflecting a broader trend of consolidation within the critical minerals sector.

The acquisition centers around the Tanbreez rare earth project located in Greenland, which is rich in heavy rare earth elements essential for high-performance applications such as electric vehicles, wind turbines, and advanced electronics. Prior to this deal, Critical Metals held a 92.5% stake in Tanbreez, while European Lithium owned the remaining 7.5%. With this acquisition, Critical Metals achieves full ownership, streamlining development and financing strategies.

This consolidation goes beyond mere corporate restructuring; it addresses the inherent challenges of fragmented ownership in rare earth projects. Such fragmentation often complicates permitting processes and increases execution risks. By fully integrating Tanbreez, Critical Metals is poised to accelerate its path toward a final investment decision (FID) and subsequent production.

Under the terms of the agreement, shareholders of European Lithium will receive 0.035 shares of Critical Metals for each share they hold, effectively creating a unified corporate structure. This move eliminates cross-shareholdings that previously existed between the two companies.

Moreover, the merger enhances Critical Metals’ balance sheet as European Lithium contributes approximately $219 million in cash and marketable securities. Concurrently, Critical Metals will cancel cross-held shares that represent about 34% of its equity base, thereby improving capital efficiency and market liquidity.

This acquisition is indicative of a larger geopolitical shift regarding rare earths and critical raw materials. Western economies are increasingly focused on reducing dependency on Chinese-controlled supply chains, particularly in high-value segments like permanent magnets. Projects such as Tanbreez are now viewed as strategic assets rather than simple commercial ventures. By consolidating ownership, Critical Metals aims to attract Western industrial partners and investors seeking secure access to non-Chinese supply sources.

European Lithium has transitioned from its original focus on lithium in Austria to emphasize rare earths through its stake in Critical Metals. This merger crystallizes that transition while placing operational control firmly within a U.S.-listed entity.

The demand for rare earth elements is surging due to electrification trends across various sectors including transportation and defense. Heavy rare earths are particularly scarce, making assets like Tanbreez strategically vital. Current development timelines suggest potential production could commence between late 2028 and 2029, positioning it as a key player in future non-Chinese supply chains.

The transaction between Critical Metals and European Lithium exemplifies a broader consolidation trend within the global mining industry as companies seek to eliminate fragmented project ownership in favor of larger, vertically integrated operations. This approach offers numerous advantages including expedited permitting processes, improved access to capital, and stronger negotiating positions for long-term agreements.

As industries prioritize supply chain security amid geopolitical uncertainties, control over substantial deposits like Tanbreez is becoming increasingly crucial for investment flows and valuations.
