Nordic Mining Warns of Bankruptcy as Engebø Output Rises but Financing Remains Unresolved

Nordic Mining faces a potential bankruptcy as efforts to secure emergency funding for its Engebø rutile and garnet operation in Norway remain unsuccessful, despite significant improvements in production during the third quarter.

The Oslo-listed company has been negotiating with bondholders, shareholders and other stakeholders to obtain the short-term liquidity needed to stabilise its financial position. The discussions have yet to produce a financing agreement, while the time available to reach a solution is described as extremely limited.

Shareholders approved measures at an extraordinary general meeting to provide the board with greater flexibility to pursue a restructuring. The company warned that bankruptcy proceedings remain a possible outcome if additional funding cannot be secured.

Engebø Production Increases During Ramp-Up

Operational performance improved during the third quarter, with rutile production rising 74% to 2,190 tonnes and garnet output reaching approximately 11,161 tonnes. The volume of ore processed increased to around 311,000 tonnes. Despite these gains, the operation has not generated sufficient cash flow to meet the company’s financial obligations. The gap between improving production and the availability of cash remains a central challenge as Engebø moves through its ramp-up phase.

Nordic Mining has already secured short-term funding through a heavily discounted bond transaction in an effort to gain additional time to stabilise the operation. The company is also facing regulatory uncertainty surrounding tailings disposal, adding another complication to its financing efforts.

Ramp-Up Costs and Liquidity Pressures

The situation highlights the financial risks associated with the transition from construction completion to stable commercial production at new European mining projects.

During ramp-up, mining operations must continue covering substantial operating expenses, debt servicing and working-capital requirements while production remains below design capacity. Delays affecting recoveries, processing throughput or concentrate sales can place additional pressure on liquidity. For Nordic Mining, the improvement in output has not yet translated into the cash generation required to support its financial commitments, leaving the company dependent on a new funding arrangement or a broader restructuring.

Natural Rutile and Garnet Production at Stake

Engebø is intended to establish a European source of natural rutile, a high-grade titanium feedstock used in pigments, titanium metal and other industrial applications. The operation also produces industrial garnet.

The immediate priority is securing the company’s solvency rather than the strategic value of its mineral resources. Negotiations must establish whether creditors and shareholders can agree on emergency liquidity and restructuring measures before available cash resources are exhausted.

Potential rescue options could include substantial dilution for existing shareholders, revised bond terms, the entry of new strategic investors or changes in ownership of the Engebø asset. If negotiations fail, bankruptcy proceedings could place control of the newly built European mineral operation into a formal restructuring process, potentially changing the position of existing shareholders and creditors. Nordic Mining has recorded higher production at Engebø, but its ability to secure sufficient financing remains unresolved as the company seeks to sustain operations and meet its financial obligations.
